NetDue legal
Terms of Service
Effective date: not yet effective. The contract will be with the NetDue operator identified in the customer's signed order form or onboarding notice. That notice must also provide the operator's registered address and support contact before launch.
1. Service scope
NetDue is credit control software. It helps business creditors organise invoice records, reminders, direct creditor payment instructions, illustrative statutory calculations and draft recovery material. It is not a law firm, debt collection agency, payment institution, debt adviser, legal representative or court filing service.
2. Customer authority and responsibility
You may use the service only for a business you are authorised to represent. You remain responsible for the accuracy, lawful basis and current status of every invoice, contact, consent, payment instruction and recovery decision. Before outreach or escalation, you must check that the debt is due, open, undisputed where relevant, not paid or credited, and legally recoverable. You must keep account access secure and tell us promptly about suspected misuse.
3. Accounting data and availability
Connected providers supply external data that can be delayed, incomplete or unavailable. A displayed sync status is not a certification of ledger accuracy. NetDue may pause actions where data is stale or a provider is unavailable. Maintenance, provider outages and security incidents can interrupt the service; no commitment to uninterrupted availability applies unless a signed order states one.
4. Communications, letters and court material
You instruct and approve outbound communications. Provider acceptance does not prove delivery. Simulated messages are test records and are not sent. Letters Before Action and MCOL exports are drafts created by the software. They are not legal advice, court filings, findings of enforceability or promises of recovery. A recorded solicitor review is a workflow control, not a guarantee of legal validity or outcome.
5. Direct creditor payments
Debtors pay the creditor directly using creditor owned BACS instructions. NetDue does not receive, hold, route, settle, reconcile or escrow debtor funds. You are responsible for checking bank details and handling payment allocation in your own systems.
6. Subscription billing
Stripe processes NetDue subscription, overage and add on charges. Prices, billing periods, taxes, renewal and cancellation terms are those shown in the applicable order and checkout. Cancelling the subscription does not itself erase workspace data; a separate verified erasure request is required.
7. Customer data and confidentiality
You retain rights in your data. You permit the operator and its subprocessors to process it only to provide, secure, support and lawfully administer the service. Each party must protect the other's confidential information using reasonable measures and disclose it only where authorised or legally required. Data export functionality and assistance, if any, must be stated in the order or support process.
8. Suspension and termination
Access may be suspended to protect users or recipients, investigate misuse, comply with law, respond to non payment, or contain a security risk. Either party's termination rights and notice period must be stated in the signed order. On closure, the retention and erasure rules in the Privacy Notice apply.
9. Warranties and liability
The service provides tools and records, not professional advice or recovery outcomes. Any exclusions, financial cap, excluded losses and mandatory exceptions must be settled in the final terms approved by a solicitor and order form; this draft intentionally does not invent a liability cap.
10. Indemnity
Any customer indemnity for unlawful instructions, inaccurate data or misuse must be reviewed for fairness and enforceability and included in the final signed terms. No indemnity is asserted by this pre launch draft.
11. Changes, notices and governing law
Material changes require reasonable notice through the account contact or service. The final terms must identify a notices address and state the governing law and courts agreed for the operator's actual legal entity. Those items remain launch blockers.
